LEGAL NOTICE

These terms constitute a legally binding contract between the subscribing institution (School) and EduNixx. The English version is legally binding.

Section 1

Introduction

These Terms & Conditions ("Terms") govern access to and use of the EduNixx platform ("Platform", "Service", "we", "our", "us"). EduNixx is a Software-as-a-Service (SaaS) solution designed for educational institutions to manage academic, administrative, and financial operations.

These Terms constitute a legally binding agreement between EduNixx (Service Provider) and the subscribing institution ("Institution", "Customer", "School").

Section 2

Definitions

Key terms used within these Terms & Conditions are defined as follows:

  • Platform: The EduNixx ERP system — Web Admin, Teacher App, Student App, backend APIs, and databases.
  • Institution: School, college, or educational organization subscribing to the platform.
  • User: Any authorized individual (admin, teacher, student, parent) accessing the platform.
  • Account: Registered access credentials linked to an institution.
  • Subscription: Paid or trial access to platform services.
  • Data: All information entered, stored, or processed within the platform.
  • Services: Features including admissions, attendance, fees, exams, notifications, PaperScribe (AI-assisted OCR), and communication tools.
Section 3

Acceptance of Terms

By registering an account, accessing or using the platform, or purchasing a subscription, the Institution agrees to be bound by these Terms. If the Institution does not agree, it must not use the platform.

Section 4

Eligibility

4.1 Institutional Eligibility: Only legally recognized educational institutions may subscribe. The person registering must be authorized to bind the institution legally.

4.2 User Eligibility: Users must be authorized by the institution and must comply with institutional policies and these Terms.

4.3 Responsibility of Institution: The Institution is solely responsible for managing user accounts, permissions, and monitoring user activities within its workspace.

4.4 Minors: Where a User is a minor (under 18 years of age), including students accessing the Student App, these Terms are accepted on the minor's behalf by the Institution and/or their parent/legal guardian. The minor User does not independently enter into a binding contract under these Terms.

Section 5

Account & Security

5.1 Account Creation: Accurate information must be provided during registration. False or misleading data may lead to account suspension.

5.2 Account Security: The Institution must ensure secure storage of credentials, strong passwords (hashed via bcrypt on our end), and Use of Multi-Factor Authentication (MFA) where enabled for privileged roles.

5.3 Unauthorized Access: Any unauthorized access must be reported immediately to support@edunixx.com. The Institution bears responsibility for misuse of its own accounts.

Section 6

Nature of Service

6.1 SaaS Model: The platform is provided on a subscription basis. No ownership of the software is transferred to the Institution.

6.2 Service Scope: Student lifecycle management, fee tracking, examination records, notification systems, and PaperScribe (AI-assisted OCR transcription).

6.3 Service Modifications: We reserve the right to add, modify, or remove features for security, performance, or compliance reasons.

Section 7

License Grant

We grant the Institution a limited, non-exclusive, non-transferable license to access and use the platform during an active subscription.

The Institution may NOT:

  • Reverse engineer the platform
  • Copy, resell, or sublicense the service
  • Attempt unauthorized access to other tenants' data
  • Use the platform for non-educational or illegal purposes
Section 8

Acceptable Use Policy

The Institution and its Users must use the platform strictly for lawful educational and administrative purposes.

Prohibited Activities:

  • Unauthorized Access: Bypassing authentication controls or accessing unassigned tenant systems.
  • System Abuse: Introducing malware, executing DoS attacks, or exploiting software vulnerabilities.
  • Data Misuse: Exporting sensitive records without authorization or violating GDPR/DPDP norms.
  • Illegal Activities: Storing or transmitting unlawful, defamatory, or harmful content.
Section 9

Data Ownership

9.1 All data entered into the platform remains the property of the Institution. EduNixx does not claim ownership of institutional data.

9.2 We act strictly as a Data Processor — data is processed only for service delivery, per the Privacy Policy.

9.3 The Institution is responsible for lawful collection of data and obtaining parental/guardian consent where required.

Section 10

User-Generated Content

The platform stores content created or uploaded by users, including student records, documents/files (e.g. Cloudflare R2-hosted media), and notices.

The Institution is fully responsible for the legality, accuracy, and authenticity of uploaded content.

Section 11

Privacy & Processing

Data handling is governed by our Privacy Policy. The Institution acknowledges it acts as Data Controller, and the platform acts as Data Processor.

Section 12

Institutional Responsibilities

The Institution is strictly required to:

  • Ensure lawful data collection and valid user consent
  • Maintain proper role assignments and access privileges
  • Prevent account sharing and credential leakage

Data Accuracy Disclaimer

We are not responsible for incorrect data entered by users, outdated or incomplete records, or misuse of system-generated reports.

Section 14

Audit & Compliance

The platform provides audit logs (Create/Update/Delete trail) and reporting features. Institutions are responsible for reviewing logs and ensuring compliance with applicable regulations.

Section 15

Subscription Model

Access is granted only during an active subscription period. Plans may vary based on number of users, enabled modules, institution size, and custom features.

Section 16

Pricing & Payments

16.1 Pricing is defined at the time of purchase and may vary based on configuration and scale.

16.2 Payments must be made in advance. Failure to pay may result in suspension of services.

16.3 Payments are processed via third-party, PCI-DSS-compliant gateways. We do not store card details.

16.4 All subscription payments are made directly by the Institution through the EduNixx website or direct sales process, and are not processed through in-app purchases within the Teacher App or Student App. The mobile applications do not offer any in-app purchase functionality.

Section 17

Renewal & Price Changes

Subscriptions may auto-renew or require manual renewal, depending on the plan. Pricing may change upon renewal; updated pricing will be communicated in advance.

Section 18

Refund Policy

No refunds after service activation, as a general rule. Refunds may be considered only in cases of duplicate payment or proven technical failure preventing onboarding.

Section 19

Service Availability

Target uptime is 99%+ on a best-effort basis. Service availability may be affected by scheduled maintenance, ISP issues, or hosting failures (Hostinger VPS / R2).

Section 20

Suspension of Services

We may suspend access for payment default, security risks, policy violations, or legal requirements. Data remains intact during suspension.

Section 21

Termination

The Institution may terminate its subscription at any time. We may terminate access if Terms are violated or if legal compliance requires it.

Section 22

Effect of Termination

Upon termination, access to the platform is revoked; data retention and deletion follow the Privacy Policy timeline.

Section 23

Post-Termination Data Access

Limited-time access may be provided for data export. After the retention period, data will be permanently purged from active databases.

Section 24

Reinstatement

Suspended accounts may be reinstated upon payment clearance or resolution of violations. Reinstatement is not guaranteed.

Section 25

Intellectual Property

25.1 The Platform — including software, UI/UX, source code, and branding — is the exclusive property of EduNixx.

25.2 Institutions receive only a limited usage license; no ownership rights are transferred.

25.3 Copying, modifying, reverse engineering, or decompiling the platform is strictly prohibited.

Section 26

Confidentiality

Both parties agree to protect confidential information (technical architecture, business processes, security practices) and not disclose it to unauthorized parties.

Section 27

Limitation of Liability

27.1 EduNixx shall not be liable for indirect damages, loss of profits, or business interruptions.

27.2 Total liability shall not exceed the amount paid by the Institution in the last billing cycle.

Section 28

Indemnification

The Institution agrees to indemnify and hold harmless EduNixx against claims arising from misuse of the platform, violations of applicable laws, or data privacy breaches caused by the Institution.

Section 29

Disclaimer of Warranties

The platform is provided on an "as-is" and "as-available" basis. We do not guarantee error-free operation or uninterrupted availability.

Section 30

Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control, including natural disasters, network outages, or cyber incidents beyond mitigation capability.

Section 31

Third-Party Services

The platform integrates with third-party services (AWS, Cloudflare R2, Resend, FCM, Gemini API). We are not responsible for downtime or failures of these external services.
